Job Summary
The Corporate Paralegal is a key member of bswift’s Legal Department. In this role you will assist in creating and implementing new processes for the Legal team. In addition, you will have significant contact within bswift including Executives, sales and engineering. You will report to the Chief Legal Officer and will support the Legal Department team.

We are looking to hire an experienced, highly motivated Corporate Paralegal to join our corporate legal team in this fast growing, truly globally distributed company. Your role will be distributed working primarily from home, where you will support the corporate legal team with administrative and corporate paralegal skills in a variety of areas including board of directors matters, corporate governance, annual compliance for and maintenance of international subsidiaries and public company compliance and reporting. What you will do:

Hopper is seeking an experienced international transactional attorney to join its growing global legal team as Associate Counsel for its Fintech and Cloud Business.
In this role, you will report to the Deputy General Counsel and work closely with the growing Fintech and Cloud legal team, product leads, and other senior business partners to drive and execute commercial contracts with Hopper’s B2B partners around the world. In doing so, you will provide innovative solutions to cross-border remittance issues arising under complex commercial contracts that will govern the provision of Hopper’s travel and fintech services to airlines, banks and online travel agencies and their respective customers. The core function of this role is commercial contracting, and the right person will have a strong foundation in withholding tax and indirect tax (VAT/DST/sales tax) as a complementary skillset.
You will be a self-starter with intellectual curiosity and a willingness to roll up your sleeves and tackle unfamiliar tax issues in new markets to remove blockers and facilitate deal close. You will be eager to unpack the complexities needed to close cross-border commercial transactions as a rapidly-scaling B2B business with a home base in Canada and significant operations in the U.S. that operates globally with subsidiaries and affiliates in 38+ countries.
Primary Responsibilities:
- Negotiate, draft and close the distributed fintech and Cloud contracts that contribute to Hopper’s success. Research indirect tax issues in foreign markets to address questions from prospective B2B partners that arise in contracting. Devise tax efficient solutions to withholding issues, taking into account Hopper’s corporate structure. Achieve optimal results in B2B contract negotiating across a wide range of legal topics, such as intellectual property, sanctions compliance, payments regulation and data privacy. Partner with business development on commercial negotiations.
- Advise product teams on a range of issues in developing innovative product structures, including new and emerging legal and regulatory developments impacting Hopper’s B2B distribution of fintech products, travel portals and website services (a new area of growth for Hopper).
- Help scope and build scalable and effective processes for legal review and launch of new products, including drafting and maintaining terms and conditions for products sold on Hopper’s sites and its B2B partners’ sites.
Secondary Responsibilities:
- Advise on all issues affecting Hopper’s business globally, including consumer protection, intellectual property, regulatory compliance, data privacy and information security, and corporate governance.
Qualifications & Background Requirements:
- J.D. or LLM in the United States; Three (3) years minimum experience in an in-house position, government and/or law firm practice advising a wide range of industries (including consumer products and technology services) on commercial contracting matters, including withholding and indirect tax issues;

What you’ll be doing:
- Manage and oversee the company’s legal disputes and litigation needs/matters, including providing legal advice and representation in court and other legal forums
- Conduct legal research, draft pleadings, motions, and other legal documents, and handle discovery and e-discovery requests
- Develop and drive Noom’s litigation strategy and risk management plans in coordination with the company’s business teams and leaders
- Serve as a lead advisor for different pillars of business across Noom, helping build scalable and effective processes for legal review as business grows
- Partner cross-functionally to identify and evaluate business and legal risks and find creative ways to mitigate them while achieving business goals and pursuing opportunities to scale
- Counsel the business to minimize litigation and regulatory risk and exposure
- Oversee and partner with outside counsel in litigation matters as needed
- Provide legal advice and guidance on a wide range of legal issues, including but not limited to contract disputes, employment law, intellectual property, and regulatory compliance
- Remain up-to-date on legal developments and trends that may impact the company’s litigation strategy or risk exposure
- Develop strategies and processes to scale legal support as our business grows
Your background:
- 7+ years of legal/litigation experience, including experience at a top tier law firm as well as in-house experience
- Experience in different categories of litigation (employment experience is a bonus!)
- JD from accredited U.S. law school; licensed in good standing with a state bar
- Demonstrated experience partnering with and providing timely support to in-house business clients
- Exceptional analytical, writing, and communication skills
- Strong business acumen with a creative approach to problem-solving
- Experience developing creative solutions to navigate complex legal issues to both protect the company and drive Noom’s business forward

Base Salary:
- The US base salary range for this full-time position is $253,000 – $343,000.
- Our salary ranges are determined by role, level, and location. The range displayed on each job posting is based on Noom’s estimate as of the date of publication and reflects the minimum and maximum target for the position across all US locations. The actual placement of the candidate within the range is based on factors including but not limited to relevant experience, assessment of functional skills and behavioral competencies, scope, and location. This range is not inclusive of any discretionary bonus or equity package.

This is a unique opportunity to work as an associate level in-house legal counsel on a fully remote team. You’ll be helping Status’ Legal lead in supporting Finance, Marketing, People Ops, and one of the most innovative Core Developer teams in blockchain.
Your input from a legal perspective will include, among other things, regulatory research, contract management, and compliance monitoring and general advice. You’ll get immediate hands-on experience in legal issues in jurisdictions across the globe and you’ll be working on cutting edge issues at every turn, whether blockchain technology law, intellectual property, employment law, or basic contract management.

Position Summary:
KIND seeks a paralegal to support KIND’s delivery of legal services to KIND clients across KIND field offices and teams through a range of case support tasks in coordination with our attorneys. The National Team is comprised of attorneys and paralegals who fill a critical role at KIND by deploying remotely and, as needed, in person, to work with field offices experiencing staffing vacancies. Members of the National Team also work across KIND to help identify trends and patterns. This position will work across the Legal Programs department, and will also provide regular support to KIND’s Family Separation Team in delivering legal services to separated families who have been reunified in the United States. Paralegals are responsible for conducting client intakes, legal research, preparation of immigration forms, drafting affidavits, maintaining files and data, travel preparation, social services referrals, and other related duties. The Paralegal reports to an attorney on the National Team. Occasional travel will be required to assist teams needing in-person support.
Essential Functions:
- Provide support to attorneys, including conducting legal research; filling out immigration benefits and other standard forms, specifically for humanitarian parole and employee authorization documents; drafting affidavits; assisting with documentation and logistics in preparation for travel to the U.S.; maintaining case files and data entry in case management database; and other tasks as needed.
- Translating documents and assisting with overall administrative duties of the local office, including database management, operations, technical support, and similar, and may include other administrative duties for the office such as mail processing, supplies, and related tasks.

Qualifications and Requirements:
- Bachelor’s or undergraduate degree with 1 year of relevant experience; or high school diploma with at least 5 years of relevant experience.

- Minimum of 1-year of experience working with at-risk youth, immigrants, refugees, and/or vulnerable populations.

Position Summary:
KIND seeks a full-time Paralegal to join its Family Separation team within the organization’s Legal Services component. The Paralegal will be part of KIND’s legal strategy, technical assistance and training arm within the Legal Services team and will report to a Senior Attorney on the Family Separation Team. The Paralegal will may work remotely, or can be based in any one of KIND’s field offices.
The Paralegal will work alongside the Managing Attorney and the rest of the Family Separation Team, to provide legal and administrative support to assist children and families impacted by family separation and other emerging legal and policy changes affecting migrant children seeking safe haven in the U.S. The Paralegal will provide litigation assistance, data management, legal support, and office administration in a cutting-edge area of work on behalf of highly vulnerable children. The paralegal will undertake case support tasks in coordination with attorneys, including conducting client intakes, legal research, preparation of immigration forms, drafting affidavits, maintaining files and data, hearing preparation, social services referrals, and other related duties.
Essential Functions:
- Provide legal, administrative, operations, and program support to attorneys working on family separation matters;

Your impact
As Commercial Counsel, you will leverage your experience and expertise to counsel and collaborate cross-functionally with teams at Grammarly, all while developing a erse set of skills and growing the specialized support provided by the Grammarly Legal team. - Within your first 30 days, you will onboard to the Grammarly Legal team and focus on understanding our legal function and our B2B business. You will be involved in solving interesting legal asks and negotiating at least one complex Grammarly contract.
- By month three, you will have developed good relationships with the leaders in various Grammarly B2B teams. You will balance and prioritize the strategic projects you are leading and the contracts you’re negotiating.
- By month six, you will be able to counsel and negotiate across all segments and channels of B2B, supporting other legal team members on their own negotiations. Samsara’s Compensation Philosophy: Samsara’s compensation program is designed to deliver total compensation (based on role, level, and geography) that is above market. The Role

As the Company’s Litigation Paralegal, you will work with various teams across the organization, engage in fact finding missions, and report to some of the most innovative legal minds out there. You will be responsible for managing litigation processes and assisting Cerebral’s Sr. Litigation and Health Care attorneys in a variety of complex litigation issues.
Who you are:
- 5+ years of Litigation paralegal experience at a law firm or in-house at a Health Care company
- Class action, complex commercial and employment litigation experience considered a plus factor.
- Bachelor’s degree or paralegal certificate
- Experience with all phases of litigation (from inception through trial and appeal) is highly valued
- Problem-solver who can think creatively and practically to build and streamline internal legal processes
- Independent thinker who is comfortable making judgment calls, spotting issues, and escalating to the team when necessary
- Outstanding writing, research, negotiating, interpersonal, and organizational skills. Attention to detail and a drive to get to the bottom of things is a must
- Adept at technical tools, including Word, Excel, PowerPoint/Keynote, and document sharing and e-signing tools. Experience with G-Suite a plus

Shutterfly seeks to hire a Corporate Paralegal to support the legal department. This is a full-time position. In this role you will work closely with the Associate General Counsel (Corporate) and other department attorneys, as well as cross-departmentally with business development, finance, accounting and human resources, on a wide variety of corporate matters including corporate governance, securities filings, subsidiary management, M&A, financing transactions and stock administration.
What You’ll Do Here:
- Assist with securities filings, including but not limited to, private-company Annual Reports, Quarterly Reports, Current Reports and related D&O and Disclosure Committee questionnaires.
- Assistance with corporate governance function including maintaining minute books and records with respect to the Board, committees, all subsidiaries, parents and affiliates and provide legal entity organization charts and periodic reports to parties, as required.
- Preparation, filing and/or maintenance of certificates of incorporation/registration, annual reports, powers of attorney, reinstatements, withdrawals, trade name registrations, and corporate and banking resolutions
- Provide corporate secretarial and governance support for matters related to bank account authorizations, intercompany idends, capital contributions, capital reductions, subsidiary reorganizations, guarantees, financing transactions, real estate transactions, intercompany transactions, promissory notes, and intercompany loans
- Support of mergers & acquisitions transactions including preparation for closing and collection and organization of due diligence materials
- Provide KYC information and documents (formation documents, incumbency certificates, etc.) in connection with opening and maintenance of bank accounts and all other treasury related transactions
