We are seeking a highly motivated Corporate Paralegal to join our Legal department in Gaithersburg, MD. The ideal candidate will be a corporate paralegal with a minimum of five years of experience assisting with (a) SEC filings, (b) corporate governance matters, and (c) subsidiary management. The position will report to our Corporate Counsel, Securities and Corporate Governance.

Responsibilities include but are not limited to:

• Preparing and filing various SEC documents, including Section 16 filings and assisting with the preparation of annual, quarterly and ad hoc disclosures
• Assisting with the Company’s proxy statement, D&O questionnaires, and organizing the annual shareholders’ meeting
• Supporting corporate governance and other corporate secretarial matters, including preparation and distribution of board materials and maintenance of records in Diligent Boards
• Assisting with other legal and regulatory matters pertaining to the Company’s status as a public company, including compliance with Nasdaq rules

Minimum requirements:

• High school diploma/GED; Associate’s or Bachelor’s degree, preferred
• Minimum of five years of corporate paralegal experience at a law firm or within an in-house corporate legal department of a publicly-traded company
• Paralegal certificate from an ABA approved paralegal program and/or a notary public a plus
• Proficient with Microsoft Office Suite (i.e. Word, Excel, PowerPoint), experience with Diligent Boards a plus

Summary of Role & Key Responsibilities

This is a unique opportunity where are seeking an experienced, highly organized and detail-oriented inidual to join our growing and dynamic legal team as a Corporate Paralegal to perform critical work. This position is a 6-month contracted role.

Key Responsibilities:

The Role

What you’ll do

Oyster is looking for a Litigation Counsel to contribute to Oyster’s growth to become the world leader in global distributed working. Reporting to the Senior Managing Counsel, your responsibilities will include, but are not limited to, managing legal claims and/or disputes (both commercial and employment-related claims) in conjunction with outside counsel; advising internal stakeholders regarding collections efforts, employment law disputes, and a variety of legal issues; building claims management procedures and protocols; and supporting cross-functional teams in building a scalable, marketable, and successful technology platform. This role will straddle the commercial and employment aspects of Oyster’s business, so the ability to understand the intersection of both in Oyster’s model is key. The role will require that you bring a balanced and practical lens to everything you do. You will need to be flexible, think on your feet and outside-the-box. What we’re looking for

• Juris Doctorate or other qualified lawyer with at least 4-6 years experience as a fully licensed, practicing attorney
• In-depth knowledge of, and experience in commercial and/or employment law
• General litigation and/or other claims-handling knowledge and experience
• Experience advising clients and filing legal pleadings in English
• Experience in corporate advisory and analysis of commercial agreements
• Significant experience advising a US parent company with global subsidiaries
• Experience advising on or dealing with global legal issues

We’re looking for a Paralegal to the commercial legal team. You will be a partner to the business, including sales, marketing, and engineering teams on any commercial matters. • Corporate Governance: Assist with corporate and board governance matters (including record keeping of minute book and annual resolutions), shareholder agreements, and regulatory filings.

About you

• Juris Doctor (J.D.) or LL.B. degree from an accredited law school and active membership in at least one US state bar association.
• 5-7+ years of relevant legal experience, ideally including both in-house and law firm experience. Prior experience managing external legal counsel is a plus.
• Self-motivated creative problem solver who demonstrates grace under fire. Ability to work independently and as part of a team, with a proactive and solution-oriented approach that has practical business orientation.
• Outstanding judgment with the ability to assess, analyze, and articulate legal risks while supporting business growth.
• Strong knowledge of commercial law, intellectual property law, and privacy regulations.
• Proven experience in drafting and negotiating complex commercial contracts with mid-market and enterprise level organizations.
• Familiarity with SaaS and technology industry preferred. Bonus if experience in dealing with the banking sector.
• Strong executive presence and excellent communication skills, both written and verbal, with the ability to effectively communicate complex legal concepts to non-legal stakeholders.
• Strong organizational skills and ability to manage multiple projects simultaneously.

About the Role

As an Employment Counsel, you will support the Company and partner across the Legal Function, with a personal emphasis on labor & employment, compliance, and marketplace risk, and other general issues that the Company encounters. Thumbtack attorneys work on a variety of engaging and challenging legal issues each day and the key to this role’s success will be to earn the trust of our business colleagues and provide expeditious, practical legal advice that helps identify and then mitigate risk across our platform.

Responsibilities

• Provide counseling and support on employee terminations, performance management, investigations, accommodations, and other employment-related matters
• Coordinate and manage employment related projects, including internal process reviews, new policy roll-outs and implementation, regular policy updates and training programs
• Draft and edit employment-related documents, correspondence, agreements and processes
• Provide support on Privacy/Cybersecurity initiatives
• Manage legal risks while providing business oriented solutions
• Communicate and collaborate effectively across teams and various roles to educate colleagues about business and legal risks while enabling Thumbtack’s success

For candidates living in San Francisco / Bay Area, New York City, or Seattle metros, the expected salary range for the role is currently $180,000 – $245,000. Actual offered salaries will vary and will be based on various factors, such as calibrated job level, qualifications, skills, competencies, and proficiency for the role.

For candidates living in all other US locations, the expected salary range for this role is currently $153,000 – $208,250. Actual offered salaries will vary and will be based on various factors, such as calibrated job level, qualifications, skills, competencies, and proficiency for the role.
