Job Summary

Reporting to the SVP, Finance, the Head of Legal will be Posh’s first in-house lawyer and responsible for building a world-class legal function. You will be responsible for all aspects of shaping and executing on Posh’s legal framework and strategy and overseeing all legal matters, including commercial contracts, intellectual property, data security and privacy, strategic transactions, corporate governance, and managing external legal resources. You will be a key advisor and thought leader for legal – you’re not afraid to work hands-on to get deals structured and over the line in a timely manner, provide counsel on product roadmap, advise on employment matters, and build out a legal playbook / templates as we plan to expand the business through partnerships, conduct strategic transactions (fundraising, acquisitions, licensing), and uphold the highest level of privacy / security standards for our clients. Additionally, you will work closely with senior leaders across Office of the CEO, Sales, Marketing, Partnerships, Client Solutions, Product, Engineering, Finance, and People.

Key Responsibilities

  • Commercial / Deal Desk: Review, draft, negotiate, and streamline on a wide-range of client contracts across different sizes. You will work towards driving outcomes such as improving sales cycles by 2-4 weeks lost in redlining. You will also help with driving impact on implementation / SOW contracts on definitive milestones that build better protection for Posh. As we move upmarket and get enterprise deals, we are looking to establish a playbook for pilot contracts that convert to subscription agreements.
  • Vendors: You will be the key point of contact for the legal aspects of prospective and existing vendors as each proposal goes through concurrent FP&A, Security, and Legal reviews.
  • Partnership Agreements: As Posh continues to execute on its partnership / channel ecosystem strategy, we are looking for commercial expertise on structuring revenue share, SLAs, reseller models, OEM / product integrations, etc.
  • Intellectual Property: Manage intellectual property matters, including trademarks, copyrights, and patents. Develop strategies to protect and enforce our intellectual property rights. Posh invests heavily in R&D with talented technologists working on developing proprietary technology – you will work closely with our CEO, CTO, and Head of Product to provide counsel that helps us competitively long-term.
  • Compliance: Ensure compliance with privacy laws, such as GDPR and CCPA, by implementing and maintaining appropriate policies and procedures. You will help conduct internal legal training sessions as needed to enhance legal awareness and compliance within the organization.
  • Product Counsel: Review products, features, and initiatives to assess legal compliance across multiple jurisdictions, from the early stages of product development through launch. Provide solution-focused privacy guidance to product, commercial business, engineering, and other cross-functional teams to support product innovation while making privacy a competitive differentiator for Posh.
  • Strategic Transactions: Support the SVP, Finance and CEO in preparing for any future fundraising processes, M&A activities, due diligence, and corporate strategic initiatives.
  • Departmental Support: Provide legal guidance and support to various departments, including Sales, Marketing, Client Solutions, Finance, Product, and People, ensuring compliance with relevant laws and regulations.
  • Manage External Firms: Oversee external legal counsel and other legal resources, ensuring efficient and cost-effective delivery of legal services.
  • Research: Stay up-to-date with relevant legal developments, industry trends, and best practices to provide timely and accurate advice to the organization – including federal and state data privacy laws, user protection laws and other guidance from relevant agencies.
  • Corporate Governance: Assist with corporate and board governance matters (including record keeping of minute book and annual resolutions), shareholder agreements, and regulatory filings.

About you

  • Juris Doctor (J.D.) or LL.B. degree from an accredited law school and active membership in at least one US state bar association.
  • 5-7+ years of relevant legal experience, ideally including both in-house and law firm experience. Prior experience managing external legal counsel is a plus.
  • Self-motivated creative problem solver who demonstrates grace under fire. Ability to work independently and as part of a team, with a proactive and solution-oriented approach that has practical business orientation.
  • Outstanding judgment with the ability to assess, analyze, and articulate legal risks while supporting business growth.
  • Strong knowledge of commercial law, intellectual property law, and privacy regulations.
  • Proven experience in drafting and negotiating complex commercial contracts with mid-market and enterprise level organizations.
  • Familiarity with SaaS and technology industry preferred. Bonus if experience in dealing with the banking sector.
  • Strong executive presence and excellent communication skills, both written and verbal, with the ability to effectively communicate complex legal concepts to non-legal stakeholders.
  • Strong organizational skills and ability to manage multiple projects simultaneously.
