Overview:

Note: This role requires time in the corporate office in Bowie, MD. We are seeking a candidate local to the MD, DC or VA area.

Inovalon is seeking a business-minded commercial contracting attorney with experience in the space of data licensing or SaaS (Software as a solution).This inidual will be responsible for a wide array of corporate and transactional matters and work closely with internal business clients. This role will structure, review, negotiate and advise on a variety of commercial agreements with a particular emphasis on data-driven solutions that support and accelerate innovation in health care. The incumbent will further act as a resource to others in the Legal and Compliance Department and work closely with internal business clients on contractual and regulatory matters.

Duties and Responsibilities:

  • Draft and negotiate a significant volume of sales/revenue contracts for Inovalon and its affiliated entities;
  • Structure, draft, and negotiate commercial agreements with customers and vendors, such as technology-related/SaaS agreements, professional services agreements, non-disclosure agreements, and data sharing agreements;
  • Respond to contract-related inquiries and provide guidance as a subject matter expert;
  • Negotiate with internal and external stakeholders to finalize commercial contracts, business associate agreements and other commercial transactions;
  • Support the needs of the Sales team to review and negotiate agreements, manage the contracting process and drive deals to closure;
  • Work cross-functionally with business leaders to ensure that contractual terms are compliant with legal and regulatory requirements and company policies;
  • Review and recommend approaches to resolve the privacy aspects of vendor and client contracts and other commercial transactions;
  • Provide strategic guidance to assess and mitigate legal and business risk;
  • Maintain compliance with Inovalon’s policies, procedures and mission statement;
  • Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon’s Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position; and
  • Fulfill those responsibilities and/or duties that may be reasonably provided by Inovalon for the purpose of achieving operational and financial success of Employer.

Job Requirements:

  • A minimum of five (5) years’ experience working at a law firm, corporate legal department or similar environment;
  • Tangible experience in commercial contracting, including drafting, reviewing, negotiating and advising business partners on complex agreements;
  • Ability to draft, negotiate and close commercial agreements independently;
  • Ability to manage a high-volume commercial transactions experience with a sales-driven, software or other technology company is preferred;
  • Possess exceptional business judgment, with the ability to think strategically and provide practical advice by balancing business needs with legal risks;
  • A self-starter who is detail oriented and able to work independently in a fast-paced and dynamic work environment with minimal supervision;
  • Ability to work in a dynamic legal department and environment; and
  • A solution-oriented mindset and positive approach to daily business.

Education:

  • J.D. from an accredited law school and licensed to practice law in any US state or the District of Columbia

Physical Demands and Work Environment:

  • Sedentary work (i.e., sitting for long periods of time) Exerting up to 10 pounds of force occasionally and/or negligible amount of force;
  • Subject to inside environmental conditions; and
  • Up to approximately 10% travel may be required.
