Associate General Counsel, Market Development and Impact Investing

A member of the Habitat for Humanity International Legal Department, this attorney would focus on compliance, regulatory and transactional legal matters related to Habitat’s Terwilliger Center for Innovation in Shelter (TCIS) and related market development and impact investment work. At least 50% of the time for this role will be dedicated to supporting MicroBuild 1 and 2, global affordable housing impact investment debt funds managed jointly by Habitat for Humanity, through TCIS, and an independent fund manager.

Legal and strategic support for TCIS, an initiative of Habitat for Humanity International that works to expand low-income families’ access to housing products, services and financing by working with various actors throughout the housing ecosystem, including financial institutions, manufacturers and retailers, educational institutions, public sector agencies, civil society organizations, contractors and designers, and media companies. Essential Duties and Responsibilities:

In-house attorney for Habitat’s Terwilliger Center for Innovation in Shelter (TCIS) and General Legal Support. Since launching, Habitat’s Terwilliger Center has helped over 35 million people access improved housing solutions; worked with over 100 financial institutions to unlock US$7.9 billion in affordable housing; and catalyzed US$64 million in new business for firms serving low-income segment, including MicroBuild and other innovative housing products and services

Reporting to the Deputy General Counsel, this position will be able to work with the TCIS leadership and outside counsel to manage TCIS’ activities in support of the above mission. Specific duties will include:

• 50% – MicroBuild Fund – Support for Habitat-established funds that provide capital to the housing sector allowing financial institutions and other organizations to provide the products and services needed by low-income households, including:

• MicroBuild II.

o Will get the opportunity to work with outside counsel and law school clinics to provide advice and support on Habitat’s sponsorship and investment in a new, multi-jurisdiction $500M MicroBuild fund, which will include DFI and other investors to expand on the success of MicroBuild I. o This will also include helping with negotiations and management of the governance and fund manager relationships to ensure success of the new fund, while addressing US corporate and tax matters related to Habitat’s participation in MicroBuild II. • Micro Build I o Work with TCIS and outside counsel and law school clinics to support development of case studies, learnings, and other materials relating to the fund with the goal of expanding awareness and knowledge of the viability of housing finance. o Administration and legal maintenance of existing $100M MicroBuild I entity, including compliance with lender and investor requirements, tax matters, relationship with the fund manager, and eventual wind-down and disbursement of proceeds. • 25% – Shelter Venture Fund – Support for an initiative that invests in shelter entrepreneurs, including: o Due diligence of startups who support Habitat’s mission through innovative housing and construction products and tools o Develop, review and/or negotiate transaction documents for HFHI’s investment o Provide guidance on best corporate practices for startups o Work with local counsel on matters of policy and regulatory compliance • 10% – ShelterTech Accelerator – Support TCIS’ regional accelerators that look for revolutionary solutions in affordable housing: o Training materials and guidance on best legal practices for accelerator participants to grow their businesses o General legal matters regarding vendors and other relationships who support the holding of accelerators • 10% – Communications, Resource and Business Development Support: o Work with Habitat’s communications and fundraising department to support advocacy, awareness, and raising of debt, grant/philanthropic and impact investment capital in support of the above TCIS work. • 5%: Provide other general legal support and perform duties, as requested.

Minimum Qualifications:

• Education: J.D. Degree and license to practice law • Years of Related Experience: 6-10 years • Experience in legal practice with substantial experience in cross-border transactions and international law, debt and equity financing, particularly in relation to impact and socially responsible investing or microfinance.

• Candidates should have the ability to work in a global organization with multiple international offices and a federated network of independent organizations; • Strong leadership, interpersonal and supervisory skills; keen business acumen; excellent judgment and instincts; a self-starter with strong work ethic and a positive outlook. • Candidates must be comfortable working in a global, humanitarian, Christian organization.

Preferred:

The actual salary offered for this role will be based on a variety of factors, including location, internal equity and the candidate’s qualifications and professional experience. HFHI offers a competitive, comprehensive benefits package that varies by country and typically includes vacation leave, sick leave, personal days, health insurance options, retirement plan contributions and life insurance.

For work locations in the US, the salary range for this position is between $128,000 – $192,000 per year. The target hiring range for this position is $136,000 – $152,000.
